These Terms & Conditions (“Terms”) govern all consulting and tutoring services provided by Uible Solutions, LLC (“Company,” “we,” “our”), including services delivered by independent contractors, consultants, or tutors associated with the Company (“Provider”). By scheduling, purchasing, or attending any session, meeting, or consultation, the client (“Client,” “Student,” “Organization,” or “you”) agrees to these Terms.

1. Scope of Services

Uible Solutions, LLC provides virtual consulting, tutoring, coaching, and advisory services across a broad range of technical, academic, and professional subject areas.

  • All services are delivered virtually unless otherwise specified in writing.

  • Specific expertise, deliverables, and subject areas may vary by Provider.

  • Consulting services may include project-based work, hourly advisory services, workshops, documentation support, and strategic guidance.

  • Tutoring services include one-on-one instruction, academic support, learning plans, and skills coaching.

2. Scheduling & Appointments

All scheduling must be completed through uiblesolutions.com or an authorized Company scheduling system.

  • Sessions and consultations begin and end at the scheduled time.

  • Clients must join on time with sufficient internet connectivity and appropriate device setup.

  • Providers will wait up to 15 minutes and attempt contact up to three (3) times. After that, the session is considered a no-show.

  • Project-based consulting deadlines or meeting times will be outlined in writing before work begins.

3. Payment Policies

  • All tutoring sessions, consulting sessions, or project deposits must be paid in advance unless otherwise agreed in writing.

  • Payments are processed securely through Stripe or another approved payment platform.

  • Coupon codes or promotions may be offered periodically and cannot be applied retroactively.

  • Session credits do not expire and may be transferred within the same family or organization only.

  • Consulting projects may require a retainer or deposit before work begins.

4. Cancellation, Rescheduling & No-Show Policies

  • Clients may cancel or reschedule up to 4 hours before a session with no penalty.

  • Rescheduling within the 4-hour window incurs a $20 late rescheduling fee.

  • No-shows are charged the full session rate.

  • Technology disruptions (internet, audio, video, equipment failure) may be rescheduled without penalty at Provider discretion.

  • Consulting projects must follow cancellation timelines outlined in their individual agreements.

5. Refunds

  • Refunds are available upon request for unused tutoring session credits.

  • Refunds for completed tutoring sessions or consulting work are issued only under exceptional circumstances and at Company discretion.

  • Refunds for consulting deposits or partial project work will be evaluated based on work already completed.

  • Refunds are issued to the original payment method.

6. Academic Integrity, Professional Conduct & Boundaries

  • Providers will not complete homework, exams, quizzes, assessments, reports, code, or client deliverables on behalf of a Client.

  • All Clients agree to maintain professional communication and respectful interaction during every session or meeting.

  • For quality, training, and safety, tutoring sessions may be recorded and securely stored. Consulting sessions may be recorded only with mutual consent.

7. Intellectual Property

  • All lesson materials, worksheets, consulting documents, notes, strategies, videos, and instructional content are the intellectual property of the Provider or Company.

  • No materials may be shared, redistributed, copied, posted online, or sold without explicit written permission.

  • Consulting deliverables created specifically for a Client may be used by that Client internally but may not be shared externally without written approval.

8. Technology Requirements

Clients are responsible for:

  • Maintaining a stable internet connection suitable for video conferencing

  • Keeping their camera on during tutoring sessions, unless otherwise agreed

  • Ensuring device readiness and updated software
    Failure to meet these requirements may result in early session termination or a no-show designation.

9. Privacy & Confidentiality

Uible Solutions, LLC respects Client confidentiality.

  • Personal information will not be sold, shared, or distributed.

  • Session recordings and Client data are stored securely and used only for internal quality, training, or safety purposes.

  • For consulting clients, NDA or confidentiality agreements may be added upon request.

10. Disclaimer of Results

  • Tutoring supports learning but does not guarantee grades, test scores, admissions decisions, or academic outcomes.

  • Consulting services are advisory and strategic; outcomes depend on Client implementation, engagement, and external factors.

  • The Company makes no guarantee of specific business results, operational improvements, or technical outcomes.

11. Dispute Resolution, Mediation & Governing Law

  • Any concerns, complaints, or disputes must be raised directly with Uible Solutions, LLC.

  • Before any legal action may be taken, both parties agree to attempt good-faith mediation.

  • These Terms are governed by the laws of the State of Ohio.

  • All legal proceedings must be filed and resolved exclusively in the Ohio county where Uible Solutions, LLC is headquartered.

12. Acceptance of Terms

By booking, paying for, or attending any tutoring session or consulting meeting—or by initiating a consulting project—Clients acknowledge and agree to these Terms & Conditions.
